1. Agreement to Terms

By accessing or using the Halalji platform — including our website, mobile applications, and related services (collectively, the "Service") — you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users of the Service, including merchants, customers, and visitors.

2. Changes to Terms

Halalji reserves the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 14 days' notice prior to the new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised Terms.

3. Description of Service

Halalji operates an online marketplace that connects customers with halal food merchants including restaurants, home kitchens, and grocery stores across Canada. Halalji acts as a platform intermediary and does not prepare, package, handle, or deliver food directly. We facilitate transactions between customers and merchants. Halalji does not guarantee the availability, quality, or safety of any specific products or services offered by merchants on the platform.

4. Account Registration

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and agree not to disclose your password to any third party. You agree to notify us immediately of any unauthorized use of your account. Halalji is not liable for any loss or damage arising from your failure to comply with this section.

5. Merchant Responsibilities

Merchants who list products or services on the Halalji platform agree to: (a) provide accurate and complete information about their business, products, and services; (b) maintain valid halal certification from a recognized Islamic certifying body where claimed; (c) comply with all applicable Canadian federal, provincial, and municipal laws and regulations, including food safety and health regulations; (d) ensure all products and ingredients comply with their stated halal status; (e) fulfill orders promptly and communicate any delays or issues to customers; (f) maintain appropriate business licenses and permits for their jurisdiction; and (g) accurately represent their business type, hours of operation, and delivery capabilities.

6. Customer Responsibilities

Customers using the Halalji platform agree to: (a) provide accurate delivery address and contact information; (b) pay for orders in full at the time of purchase; (c) be available to receive orders at the specified delivery address; (d) use the platform only for lawful purposes; (e) not misuse the review or rating system; and (f) contact the merchant or Halalji support promptly if there is an issue with an order rather than initiating a chargeback without first attempting resolution through our platform.

7. Orders, Payments & Pricing

All prices on the Halalji platform are displayed in Canadian dollars (CAD) and are subject to applicable taxes. When you place an order, you authorize Halalji to charge your selected payment method for the total order amount, including any applicable delivery fees, taxes, and service charges. Halalji uses third-party payment processors to handle payment transactions. We do not store your full credit card information. Prices are set by individual merchants and may vary. Halalji reserves the right to correct pricing errors at any time. In the event of a pricing error, we will notify you and give you the option to cancel or proceed with the corrected price.

8. Cancellations & Refunds

Order cancellations must be requested before the merchant begins preparing your order. Once an order is in preparation, cancellations may not be possible. Refund eligibility is determined on a case-by-case basis and depends on the circumstances of the order. If your order was not delivered, was incorrect, or did not meet a reasonable standard, please contact our support team within 24 hours of the expected delivery time. Halalji may, at its discretion, issue refunds in the form of account credits or original payment method refunds. All refund requests are subject to review. Delivery fees are generally non-refundable except in cases where delivery was not completed.

9. Halal Certification Responsibility

Halalji provides a platform for merchants to list their products and certification status. While we make reasonable efforts to verify merchant claims, Halalji does not independently certify, inspect, or guarantee the halal status of any product or merchant. Responsibility for maintaining accurate halal certification rests solely with the merchant. Customers are encouraged to review merchant certification details and contact merchants directly with specific halal compliance questions. Halalji is not liable for any misrepresentation by merchants regarding their halal certification or the halal status of their products.

10. Prohibited Uses

You agree not to use the Service to: (a) violate any applicable laws or regulations; (b) transmit any unsolicited or unauthorized advertising or promotional material; (c) impersonate any person or entity or misrepresent your affiliation with a person or entity; (d) engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service; (e) attempt to gain unauthorized access to any portion of the Service or any other systems or networks connected to the Service; (f) use the Service to transmit any viruses, worms, malware, or any code of a destructive character; or (g) scrape, data-mine, or otherwise extract data from the Service without our express written consent.

11. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Halalji Inc. and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Halalji Inc. You retain ownership of any content you submit to the platform (such as reviews or photos), but by submitting such content you grant Halalji a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and display that content in connection with the Service.

12. Disclaimer & Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HALALJI DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IN NO EVENT SHALL HALALJI, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE. HALALJI'S TOTAL LIABILITY TO YOU FOR ANY CAUSE OF ACTION SHALL NOT EXCEED THE GREATER OF ONE HUNDRED CANADIAN DOLLARS ($100 CAD) OR THE AMOUNT PAID BY YOU TO HALALJI IN THE PAST SIX MONTHS.

13. Indemnification

You agree to defend, indemnify, and hold harmless Halalji Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of the Service, including but not limited to any use of the Service's content, services, and products other than as expressly authorized in these Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada. You consent to personal jurisdiction in such courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
